STANDARD TERMS AND CONDITIONS OF SALE
- 1. Precedence of Conditions

The client expressly waives the application of its own standard terms and conditions, even where such terms and conditions have been drawn up after these Standard Terms and Conditions of Sale. Any deviation from or modification of these terms shall only be valid if expressly agreed in writing in advance.
2. Payment Terms and Conditions
Invoices shall be payable upon receipt, unless a different payment term has been expressly agreed in writing in advance and is stated on the invoice or the corresponding order. In the event of non-payment by the due date, Cervezas Artesanales Irialba S.L.reserves the right to charge a fixed interest amount equivalent to 10% of the outstanding balance. Furthermore, Cervezas Artesanales Irialba S.L.shall be entitled to suspend the supply of goods and/or the provision of services without prior notice in the event of late payment.
3. Prolonged Non-Payment and Collection Costs
If payment remains outstanding for more than sixty (60) days from the due date, Cervezas Artesanales Irialba S.L. reserves the right to engage the services of a debt recovery agency. All legal, administrative, and collection costs arising from such action shall be borne by the client.
4. Withholding Taxes
Algunos países aplican retenciones en origen sobre el importe de las facturas conforme a su legislación interna. Cualquier retención será abonada por el cliente a las autoridades fiscales correspondientes. En ningún caso Cervezas Artesanales Irialba S.L. asumirá costes derivados de la legislación fiscal del país del cliente. El importe total de la factura será debido íntegramente a Cervezas Artesanales Irialba S.L., sin deducción alguna.
5. Supply and Liability
Cervezas Artesanales Irialba S.L. undertakes to use its best efforts to supply products and/or services within the agreed timeframes. However, none of its obligations shall be deemed obligations of result. Under no circumstances may Cervezas Artesanales Irialba S.L. be required to appear as a third party in any claim for damages brought by an end consumer against the client.
6. Claims
For any claim to be admissible, Cervezas Artesanales Irialba S.L. must be notified by registered letter sent to its registered office within a maximum period of eight (8) days from the delivery of the goods or the provision of the services.
7. Returns
No returns will be accepted once the goods have been delivered, except in cases of defective or incorrect products, which must be notified in writing within a maximum period of forty-eight (48) hours from delivery. Returns will not be accepted for commercial reasons, excess stock, lack of sales, change of supplier, or client preference.
8. Governing Law and Jurisdiction
All contractual relationships between the parties shall be governed exclusively by Spanish law.
